李家涛，战略管理和国际商务方向资深专家，现任香港科技大学（科大）商学院利国伟商学讲席教授，科大商学院商业战略与创新研究中心主任，国家级人才计划入选者，美国国际商务学会(Academy of International Business，缩写为AIB)院士，美国国际商务学会(AIB)副主席(2016-2019)，美国国际商务学会(AIB)2018年会主席。研究成果发表在Academy of Management Journal、Academy of Management Review、Journal of International Business Studies、Organization Science、Strategic Management Journal和Journal of Management等管理学顶级学术期刊。担任Management Science期刊战略部主编，Journal of International Business Studies期刊副主编，Academy of Management Journal、Strategic Management Journal、Global Strategy Journal等期刊编委会委员。

内容提要：

This study examines how voting dissent from institutional investors affects non-CEO executive turnover. While research on shareholder dissent mostly focuses on director or CEO turnover, it ignores the effect on other top executives. Using a data sample from S&P 1500 firms between 2004 and 2019, we posit and find that when institutional investors withhold votes in director elections, non-CEO executive turnover increases.

讲座主要探讨机构投资者投反对票如何影响非首席执行官高管的人事变动。尽管关于股东异议的研究大多聚焦于董事或首席执行官的人事变动，却忽视了其对其他高级管理人员的影响。我们利用2004年至2019年标准普尔1500家公司的数据样本，提出研究假设并证实：当机构投资者在董事选举中弃权时，非首席执行官高管的更替率会上升。
